RobotXShop Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of RobotXShop.com (the "Website") and the purchase, lease, or use of robotic products, accessories, software, and related services (collectively, the "Products") offered by RobotX Inc. ("RobotX," "we," "us," or "our").

By accessing the Website or purchasing Products, you agree to be bound by these Terms.


1. Acceptance of Terms

By using this Website or placing an order, you confirm that:

  • You are at least 18 years old.

  • You have legal authority to enter into this agreement.

  • You agree to comply with all applicable laws and regulations.

If you do not agree, you must not use this Website.


2. Product Nature & Professional Equipment Disclaimer

RobotX Products are professional robotic systems intended for commercial, research, educational, or industrial use.

Products are NOT:

  • Toys

  • Consumer entertainment devices

  • Medical devices (unless explicitly stated)

Improper use may result in injury, property damage, or regulatory violations.

Users are solely responsible for safe operation and compliance with local laws.


3. Orders & Order Acceptance

All orders are subject to acceptance by RobotX.

We reserve the right to:

  • Refuse any order

  • Limit quantities

  • Cancel orders due to pricing errors

  • Cancel orders due to export restrictions

An order confirmation email does not constitute final acceptance.


4. Pricing & Payment

All prices are listed in USD unless otherwise stated.

Customer is responsible for:

  • Applicable taxes

  • Import duties

  • Customs fees

  • Currency exchange fees

Full payment is required before shipment unless otherwise agreed in writing.


5. Order Cancellation Policy (Standard In-Stock Products Only)

This section applies only to in-stock items.

Orders may be canceled:

  • Before shipment (subject to processing fee)

  • After shipment: cannot be canceled

Custom-configured items are non-cancelable once confirmed.

Pre-Order purchases are governed separately by the Pre-Order & Purchase Options Policy and are excluded from this section.


6. Shipping & Delivery

Shipping terms are governed by our Shipping Policy.

Key principles:

  • Orders processed within 24 hours (business days)

  • U.S. shipping origin varies by supplier

  • Delivery timelines depend on carrier

  • International shipping typically requires 2–3 weeks

  • Customer responsible for customs and duties

  • Risk of loss transfers upon carrier delivery confirmation

RobotX is not responsible for:

  • Customs delays

  • Regulatory import restrictions

  • Carrier delays


7. Inspection & Freight Damage

Customer must inspect Products upon delivery.

Any freight damage must be reported within 48 hours with photo/video documentation.

Failure to report within 48 hours may void damage claims.


8. Warranty

Warranty coverage is governed by our Warranty Policy.

Unless otherwise specified:

  • 12-month limited hardware warranty

  • 6-month battery warranty

  • Warranty excludes misuse, unauthorized modification, or international shipping fees

Warranty service does not include international freight costs.


9. Returns & Refunds

Returns and refunds are governed by the Return Policy and Refund Policy.

Pre-Order items are excluded and governed separately.


10. Software License & Cloud Services

RobotX software is licensed, not sold.

Subject to these Terms:

  • Customer receives a limited, non-transferable, non-exclusive license

  • Reverse engineering is prohibited

  • Unauthorized modification voids warranty

  • Cloud features may collect telemetry data

RobotX may update software for safety or performance improvements.


11. Data & Privacy

Use of Products may involve data collection for:

  • Diagnostics

  • Performance monitoring

  • Safety improvements

Our data practices are governed by our Privacy Policy.

RobotX does not sell personal data.


12. Safety & Compliance Notice

Customer agrees to:

  • Operate Products in safe environments

  • Conduct risk assessment before commercial deployment

  • Comply with workplace safety regulations

  • Comply with export control laws

  • Ensure proper supervision

RobotX is not liable for misuse, unsafe deployment, or regulatory violations.


13. Export Compliance

Products may be subject to U.S. export control laws.

Customer agrees not to:

  • Export to restricted countries

  • Transfer to prohibited entities

  • Use Products for unlawful military purposes (unless licensed)

RobotX reserves the right to cancel orders violating export regulations.


14. Limitation of Liability

To the maximum extent permitted by law:

RobotX's total liability shall not exceed the amount paid for the Product.

RobotX shall not be liable for:

  • Indirect damages

  • Loss of profits

  • Business interruption

  • Data loss

  • Personal injury caused by misuse

  • Third-party claims

Some jurisdictions may not allow certain exclusions; limitations apply as permitted by law.


15. Indemnification

Customer agrees to indemnify and hold harmless RobotX from any claims arising from:

  • Improper use

  • Regulatory violations

  • Unauthorized modification

  • Third-party injury caused by misuse


16. Intellectual Property

All trademarks, software, designs, firmware, and hardware designs remain the exclusive property of RobotX.

No ownership rights are transferred.


17. Force Majeure

RobotX is not liable for delays caused by:

  • Natural disasters

  • Government actions

  • War

  • Pandemics

  • Supply chain disruptions

  • Carrier delays


18. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.


19. Dispute Resolution & Arbitration

Any dispute arising from these Terms shall be resolved by:

Binding arbitration in California, under the rules of the American Arbitration Association (AAA).

Class action lawsuits are waived.

Each party bears its own legal costs unless otherwise determined by arbitrator.


20. Supremacy & Policy Hierarchy

In the event of conflict between these Terms and any product-specific policy (including the Pre-Order & Purchase Options Policy), the product-specific policy shall control for that specific transaction.


21. Severability

If any provision is deemed invalid, the remaining provisions remain enforceable.


22. Changes to Terms

RobotX may update these Terms at any time.

Continued use of the Website constitutes acceptance of revised Terms.
